Aims

This course contributes to the following learning outcomes:
The student masters the structure and methodology of the international and European and / or Belgian intellectual property rights, media and / or ICT law that he / she has followed.
The student can deal with complex problems in the domain of the intellectual property rights, media and / or ICT law that he / she has followed.

Content
This course aims at making students familiar with a series of legal issues related to the conclusions, drafting, understanding and management of contracts concluded via electronic means (online contracting) and IT contracts.
The following topics of online contracting will be covered in the course modules:
- Legal aspects of electronic contracts: concept, types of contracts, basic principles contract law, overview legal framework, applicable law and competent jurisdiction
- Consumer protection, transparency and fairness
- Evidence, e-signature, electronic authentication
- Personal data processing and contracting
- Contract termination and Alternative/Online Dispute Resolution
- Drafting ICT contracts: types of contracts, mandatory material law, national contract law, typical clauses
- Third-party certification
- Impact technological evolutions on contracting (AI, smart contracts,…)
Course material
Compulsory course material
Digital course material (legislation, cases, PowerPoint presentations, contract examples, compulsory reading material) will be published on Toledo or integrated via hyperlinks on slides.
Recommended reading and additional study material (background literature) will be announced and published on Toledo as well.
Format: more information
The course will consist of (interactive) lectures. During some lectures, exercises and case studies will be provided. The answers can be send to the lecturer. The model answers will be published on Toledo during the semester.
The lectures will be given on campus only (no recordings and/or online streaming).

Explanation
The written open book exam will test the students' understanding of the issues relating to electronic contracts and topics discussed during the course. The exam will also assesss the students' skills to draft and review electronic contracts. This will be done through essay, theoretical and case questions.
